Terms of Service
Kargul Studio, last updated 14 Oct 2026
These terms cover your use of kargul.studio and, unless a signed agreement says otherwise, our design and development services.
About these terms
By using kargul.studio or engaging us, you agree to these terms. “We” means Kargul Studio Sp. z o.o., a design and engineering studio registered in Poland, whose registered address is Nieskurzów Nowy 102, 27-552 Baćkowice, Poland (KRS 0001229092, VAT ID PL8631712518). Our services are for businesses, so by engaging us you confirm that you act on behalf of a business.
If we sign a master services agreement or statement of work with you, that agreement takes priority wherever it differs from these terms.
Using the website
The site gives general information about our work and is not professional advice. We are not responsible for third-party sites we link to.
Our services
We provide design and engineering services, including UI/UX, web, brand, motion and development. Each project or retainer is described in a proposal, statement of work or written confirmation that sets out the scope, deliverables, timeline and fees. Work outside the agreed scope needs written agreement and may cost extra. Timelines depend on you giving feedback and materials on time.
Audits and trial weeks
A design audit is an opinion based on publicly available information and our professional judgement. It does not guarantee any result and does not create a contract.
A trial week is a short, fixed-scope engagement with the duration, price and deliverables agreed in writing before it starts. It creates no obligation to continue, and either of us can choose not to move forward afterwards.
Fees and payment
Fees, payment terms and any deposit are set out in your proposal or signed agreement. Unless it says otherwise, fees exclude VAT where VAT applies. If an invoice is overdue, we may pause work and charge statutory interest for late payment under Polish law.
Your responsibilities
You agree to give us timely feedback, materials, access and decisions, and to confirm that you have the rights to everything you give us (such as logos, copy, images and fonts). You are responsible for how you use the deliverables, including making sure your product complies with the law.
Intellectual property
Once you have paid in full, we assign to you the ownership of the final deliverables created specifically for you. This does not include third-party materials (such as fonts, stock assets and open-source libraries), which remain under their own licences, or our pre-existing tools, templates, components and know-how, which we keep. We grant you a licence to use those as part of the deliverables. Until you have paid in full, you may use the work for review only. Concepts you did not choose remain ours.
Confidentiality
Each of us will keep the other’s non-public information confidential and use it only for the project. This does not apply to information that is already public, that we independently develop, or that the law requires us to disclose. This obligation continues after the project ends for the period set out in your agreement.
Portfolio and testimonials
Unless we agree otherwise in writing (for example in an NDA), we may show the project and its results in our portfolio and marketing, and name you as a client. We will ask before publishing a named testimonial. You can ask us to remove your logo or work from our materials at any time, and we will do so going forward.
Warranties and disclaimers
We perform our services with reasonable skill and care. We do not guarantee specific business results, such as conversion rates, revenue, user growth or fundraising. The website and any audits are provided “as is”.
Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or lost data. Our total liability for any claim connected to a project is limited as set out in your agreement or, where there is none, to the fees you paid us for that project. Nothing in these terms limits liability that cannot be limited by law, including liability for intentional harm.
Termination
Either of us can end a project or retainer as set out in your agreement. We may pause or end work sooner if invoices are overdue or either of us seriously breaches these terms. If work ends, you pay for work completed and any costs already committed up to the end date, and we hand over the finished deliverables, subject to payment. Confidentiality, intellectual property and payment terms continue after termination.
Governing law and disputes
These terms are governed by Polish law. We will try to resolve any dispute in good faith first. If we cannot, the competent courts in Poland have jurisdiction, unless the law requires otherwise.
Changes and contact
We may update these terms. Changes apply to your use of the website from the date we post them, and to new engagements from that date. Questions can be sent to hello@kargul.studio.
